These general terms and conditions apply to all offers, quotations and agreements of ADS Web Services. By using our services, you agree to these terms.
"ADS Web Services": the service provider established in the Netherlands, trading under the name ADS Web Services. "Client": the natural or legal person who enters into an agreement with ADS Web Services. "Services": all work performed by ADS Web Services, including AI development, consultancy, training and maintenance.
These terms apply to all quotations, offers and agreements between ADS Web Services and the client. Deviations are only valid if agreed in writing.
All quotations are non-binding and valid for 30 days unless otherwise stated. An agreement is formed upon written confirmation by ADS Web Services or at the start of work.
All prices are exclusive of VAT unless otherwise stated. Payment is due within 14 days of the invoice date. For projects above €5,000, invoicing is in instalments: 40% at commission, 40% halfway and 20% at delivery.
After full payment, ownership rights of the delivered work are transferred to the client, unless otherwise agreed. ADS Web Services retains the right to reuse generic components and methodologies in other projects.
ADS Web Services is not liable for indirect damage, consequential damage or lost profits. Total liability is limited to the amount invoiced for the relevant assignment, up to the amount paid by the professional liability insurance.
Both parties are obliged to maintain confidentiality of all confidential information received in the context of the agreement. This obligation also applies after termination of the agreement.
Dutch law applies to all agreements. Disputes will be submitted to the competent court in the district where ADS Web Services is established.
